Legislación complementaria. El capítulo X sobre la intervención judicial en el arbitraje. La contradicción de tesis. No se puede renunciar a la jurisdicción estatal.

En esta cuestión, siempre lo he sostenido, el error consiste en equiparar al arbitraje con un juicio y a los árbitros con los jueces.  Ni el arbitraje es un juicio camuflajeado, ni los árbitros son jueces con cachucha de árbitros.

Prohibido renunciar


Conforme a la Constitución Política de los Estados Unidos Mexicanos, esta renuncia es legalmente imposible.  El artículo 13 dispone que "nadie puede ser juzgado por tribunales especiales".  El artículo 14 garantiza que "nadie podrá ser privado de la libertad o de sus propiedades, posesiones o derechos, sino mediante juicio seguido ante los tribunales previamente establecidos".  El artículo 16, garantiza que "nadie puede ser molestado en su persona, domicilio, papeles o posesiones, sino en virtud de mandamiento escrito de la autoridad competente".  Finalmente, según el artículo 17, "toda persona tiene derecho a que se le administre justicia por los tribunales".

Los medios alternos

Una cosa es la impartición de justicia y otra la solución de controversias, por acuerdo de las partes.  Por ello, el artículo 17 de la Constitución Mexicana dispone que "las leyes federales preverán mecanismos alternativos de solución de controversias". 

Aclaro que, en obvio de las consabidas discusiones teóricas, cuando me refiero a los medios alternos, lo hago en el más amplio de los sentidos: son alternos a la impartición de la justicia por el Estado.  Fundamentalmente, me refiero a la negociación, a la mediación o conciliación (o medios amigables para solucionar disputas) y al arbitraje.

Los medios alternos sólo pueden convenirse respecto derechos disponibles; por ejemplo, si puedo perdonar una deuda también puedo someter a un medio alterno cualquier disputa relativa a esa deuda.  

Supongamos que "A" considera que "B" le adeuda mil pesos y "B" lo niega.  La libertad contractual les brinda muchas salidas.

Libertad contractual

Libertad significa que lo que no está prohibido, está permitido.

Las partes pueden celebrar toda clase de convenios para crear, transferir, modificar o extinguir obligaciones.  Se perfeccionan por el consentimiento y obligan a las partes.  Pueden ser objeto de convenios o contratos los derechos privados que no afecten directamente el interés público, cuando la renuncia no afecte los derechos de tercero (CCF, artículos 6º, 1792 a 1796).

Remisión

En el ejemplo de arriba, "A" puede hacer remisión de la deuda y liberar a "B"  (CCF, artículo 2209).  Una vez manifestada la voluntad de hacer la remisión, total o parcial, "A" no se puede echar atrás.  No puede luego reclamar ante los tribunales que es una injusticia que haya perdonado la deuda; y que, ahora, su mujer no se lo perdona.

Transacción

Por el contrato de transacción las partes se hacen recíprocas concesiones, terminan una controversia presente o previenen una futura (CCF, artículo 2944).  La transacción tiene sobre las partes, la misma eficacia y autoridad que la cosa juzgada; pero podrá pedirse la nulidad o la rescisión de aquella en los casos autorizados por la ley (CCF, artículo 2953).

"A" y "B" pueden convenir una transacción que ponga fin a la disputa; por ejemplo, convenir que "B" solo pagará quinientos pesos.  Igual que en el caso anterior, "A" no podrá luego acudir a los tribunales para reclamar que, en el momento de la transacción, "B" se aprovechó porque "A" necesitaba con urgencia el dinero.  Pero que eso es una injusticia.

La transacción puede tomar muchas formas.  Por ejemplo, las partes pueden convenir en echarlo a la suerte tirando una moneda al aire; un volado, como se dice en México.  También, convenir en someter sus diferencias a un conciliador en busca de que los ponga de acuerdo, etcétera.

Arbitraje

Finalmente, las partes pueden convenir que el asunto se resuelva en un arbitraje.  Si es una disputa comercial, el arbitraje se seguirá conforme a las disposiciones del Cco (LMA).  El laudo será vinculante y las partes se obligan a cumplirlo.

Como ocurre con frecuencia, puede ser que en el momento de la disputa "B", o su abogado, prefieran el procedimiento judicial.  No podrán alegar que el acuerdo es nulo, que el arbitraje debe ceder ante la majestad de la justicia y todas esas cosas que se suelen aducir.

Algo de la confusión proviene de la necesidad de regular el arbitraje.  Como las partes ponen su suerte en manos del árbitro o tribunal, hay que evitar el libertinaje.  Así, el Cco prevé estándares irrenunciables que garanticen mínimos de seguridad jurídica en el cumplimiento de los contratos y, por supuesto, de justicia.  Ahí es donde se confunden los perros con los gatos.

Son modificaciones convenidas

Ninguno de esos métodos es impartición de justicia, ni renuncia a ella.  Sólo son acuerdos contractuales cuya finalidad es resolver la disputa, o convenir métodos para resolverla.

El resultado de cualquiera de estas opciones es que, una vez convenida una de ellas, se modifican contractualmente los derechos originales de las partes, respecto al tiempo y forma de acceder a la justicia.  Pero son contratos o convenios que deben cumplirse.

El juez mantiene su jurisdicción

En el caso del arbitraje, el derecho a la justicia y la competencia de las cortes estatales, se mantiene.  Pero, en cumplimiento del convenio arbitral, en los términos del Título Cuarto del Libro Quinto del Cco (LMA).  

Así, será juez competente el que resulte conforme el artículo 1422 Cco (LMA, artículo 6).  Las partes tendrán, según sea el caso, derecho a recurrir ante la autoridad judicial, por ejemplo: (i) en casos de formación del tribunal arbitral, recusación y sustitución de los árbitros, (ii) decisiones sobre la competencia y validez del acuerdo de arbitraje, (iii)  ejecución de medidas cautelares, (iv) auxilio en las pruebas, (v) nulidad, reconocimiento y ejecución de laudos.

En algunos de estos casos las partes no pueden regular o suprimir la competencia de las autoridades judiciales. 

Condiciones de la demanda

Desde que estudié derecho procesal, aprendí que para iniciar válidamente una demanda se deben satisfacer previamente ciertas condiciones.  En consecuencia, cuando se convino negociar por cierto tiempo, conciliar, arbitrar, o cualquier otro medio alterno, no se puede demandar antes de satisfacer los métodos convenidos.  Usando una expresión que proviene del ‘common law”, la reclamación no está madura.

Si a la postre no es posible acudir a esos medios, o una parte considera que se violaron sus derechos durante el procedimiento o en la resolución final, esa parte tiene abiertos los caminos de la justicia estatal.

Por ejemplo, en una transacción, el afectado puede demandar la nulidad o la rescisión (CCF, artículo 2953).  Asimismo, si se trata de un laudo, se puede demandar la nulidad prevista en el artículo 1457 Cco (LMA, artículo 34); que es irrenunciable.

Contra la corriente

Al escribir esta entrega no me tomé el cuidado de revisar si existe jurisprudencia sobre la cuestión de la renuncia a la jurisdicción estatal como consecuencia del acuerdo arbitral.  Tenemos, claro está, la contradicción de tesis objeto de estos comentarios.  Reconozco que es grande la posibilidad de que me encuentre con un gran número de resoluciones en ese sentido.  No me importa.  Me quedó con la Constitución.

Supplementary Legislation. Chapter X on Court Intervention in Arbitration. Thesis Contradiction. State Jurisdiction Can Not be Waived.

In this matter I have always held that the confusion arises from equaling arbitration with court proceedings, and arbitrators with judges.  Neither is arbitration a camouflaged court proceeding, nor are the arbitrators judges with an arbitrator cap.

It is Prohibited to Waive


In accordance with the Political Constitution of the United Mexican States, this waiver is legally impossible.  Article 13 establishes that "no one shall be judged by ad hoc tribunals."  Article 14 guarantees that "no one shall be deprived from freedom or his properties, possessions or rights, but through trial followed before previously established tribunals."  Article 16 guarantees that "no one shall be disturbed in his person, address, documents or possessions, but by virtue of written mandate of the competent authority."  Finally, pursuant to article 17, "every person has the right to justice adjudication by tribunals."

Alternative Resolution Methods

The adjudication of justice is one thing, while the resolution of disputes through the parties agreement, is another.  Therefore, article 17 of Mexican Constitution provides that "federal laws shall provide for alternative dispute resolution methods."

I clarify that, in obvious reference to the well known theoretical discussions, when i refer to alternative methods, I do so in the broadest of senses: they are alternative to the adjudication of justice by the State.  Fundamentally, I refer to negotiation and to mediation or conciliation (or friendly means to resolve disputes) and to arbitration.

Alternative methods can only be agreed upon with respect to disposable rights; for example, if I can waive a debt I can also submit any related dispute to an alternative method of resolution.

Let's suppose that "A" considers that "B" owes it a thousand pesos and "B" denies it.  Party autonomy provides several options.

Party Autonomy

Personal freedom means that what is not prohibited, is allowed.

Parties may execute all kinds of agreements to create, transfer, modify or extinguish obligations.  They are perfected by consent and bind the parties.  Rights that do not directly affect public interest may be subject to agreements or contracts, when the waiver does not affect third party rights (FCC, articles 6, 1792 to 1796).

Release of debts

In the example above, "A" may release “B” of its debt (CCF, article 2209).  Once “A” manifests its decision of release “B”, partially or totally, it cannot steps back.  It can't later claim before tribunals that its decision to release the debt is an injustice.

Compromise

Through a compromise agreement, the parties, providing reciprocal concessions, end a present dispute or prevent a future one (CCF, article 2944).  The compromise, as between the parties, has the same efficacy and authority of 'res judicata'; its eventual nullity or termination, only may be claimed in the exceptional cases provided by the law (CCF, article 2953).

"A" and "B" may agree on a compromise that ends the dispute; for example, agree upon "B" paying only five hundred pesos.  Same as in the previous case, "A" cannot later go before the courts to claim that, at the time of the transaction agreement, "B" took advantage because "A" needed the money with urgency.  And that such thing is an injustice.

A compromise agreement may take many forms.  For example, parties may agree on rolling the dice or flipping a coin; a "volado", as it is said in Mexico.  They may also agree to ask a conciliator to help the parties to reach a compromise, etcetera.

Arbitration

Finally, the parties may agree that the issue be resolved through arbitration.   If it is a commercial dispute, arbitration will be conducted pursuant to the provisions of the Commerce Code (UMLA).  The award shall be binding and the parties undertake to carry it out.

As it often happens, it may be that when the dispute arises, “B", or its lawyer, prefer court proceedings.  They are legally prevented to claim that the agreement is null, and that arbitration must relinquish in favor of the majesty of justice and all those things that are often alleged.

Some sort of confusions comes from the need to regulate arbitration.  Since the parties place their luck in the hands of the arbitrator or arbitral tribunal, arbitrariness is to be avoided.  That is the reason why the Commerce Code includes mandatory provisions that guaranty minimum legal certainty in the performance of contracts and justice.  It is then when dogs are confused with cats.

They are Agreed Modifications

None of those methods is justice adjudication, nor a waiver of it.  They are contractual agreements which purpose is to resolve the dispute, or agree upon methods to solve it.

The result of any of those options is that, once they were agreed upon, the original rights of the parties are contractually modified with respect to the time and means of getting access to justice administration.  But they are contracts or agreements that must be fulfilled.

The Court Maintains its Jurisdiction

In the case of arbitration, the right to justice and the jurisdiction of the State courts, are maintained.  But  performing the arbitration agreement, in the terms of Title Four of Book Five of the Code of Commerce (UMLA).

Thus, the competent court shall be that which results from article 1422 of the Code of Commerce (UMLA, article 6).  Depending on the case, the parties shall have the right to appear before the competent court, for example: (i) in cases of composition of the arbitral tribunal, challenge and substitution of arbitrators, (ii) decisions on the jurisdiction and validity of the arbitration agreement, (iii) enforcement of provisional measures, (iv) assistance in issues of evidence, (v) nullity, recognition and enforcement of awards.

In some of these cases the parties cannot regulate or impede the jurisdiction of court authority.

Conditions for the Claim

Since I studied procedural law, I learned that in order to validly initiate a claim, several conditions must be satisfied.  In consequence, when it was agreed to have some period of negotiation, conciliation, arbitration or some other alternative resolution method, one cannot bring a claim before satisfying such agreed methods.  Using a common law expression, the claim has not matured yet.

If it happens that is not possible to refer to those methods, or if a party considers that its rights were violated during the proceedings or the final award, that party has the State justice paths open.

For example, in a compromise, the victim may request the nullity or termination (CCF, article 2953).  Likewise, if it is an award, setting aside procedures may be initiated pursuant to article 1457 of the commerce Code (UMLA, article 34); which is not subject to a waiver.

Against the Flow

While drafting this post, I did not care of researching whether there was any jurisprudence on the issue of waiver to the right to State justice, as a consequence of the arbitration agreement.  It is clear that we have the thesis contradiction which has been the object of these commentaries.  I acknowledge that the possibility of finding a great amount of resolutions in this matter is great.  I do not care.  I stick with the Constitution.

It is often hard to establish the connection.  In a previous post i justified the illustration with the excuse that I was hungry.  Now it shall be because of Stravinsky's Firebird, in celebration of its opening on June 25 of 1910, in Paris.
