Legislación complementaria. El capítulo X sobre la intervención judicial en el arbitraje. Contradicción. El voto disidente





La jurisprudencia y la disidencia

Cuando pienso que una mayoría de tres contra dos sirve para establecer jurisprudencia obligatoria en todo el territorio nacional, me dan ñañaras. Cuando leo la decisión de la mayoría y el voto disidente, se me intensifican, ¿cómo pudo el conceptualismo legal de la mayoría cerrar los ojos ante el sentido común? ¿Como puede suceder esto, al decidir un simple par casos iguales, en un sistema de derecho escrito? 

Por su naturaleza de voto particular, trataré de conservar el lenguaje de los ministros, pero no la estructura.


La conclusión al principio

El voto disidente de los ministros Cossío y Sánchez Cordero, termina con una extraordinaria conclusión. Vale la pena invertir el orden y poner el último párrafo al

“ … toda resolución emitida por Jueces o tribunales estatales ... sobre cuestiones que no sean propiamente de orden o interés público y que, además, hayan sido explícitamente encomendadas al poderío exclusivo de un determinado árbitro o tribunal arbitral, incluyendo toda cuestión relativa a la validez, nulidad o inexistencia de la cláusula compromisoria o compromiso arbitral, acabaría violentando el principio de autonomía de la voluntad de las partes, de modo tan alarmante, que se vería pisoteado tanto su sano albedrío como la razón de existencia de todo procedimiento, medio o instrumento alterno que intente de manera justa, viable y eficaz dar solución al sinnúmero de conflictos que se suscitan en el creciente tráfico de negocios y servicios en la sociedad de hoy.”

Es una cuestión de competencia

Los ministros minoritarios también se preguntan ¿a quién le corresponde la competencia para decidir sobre la demanda de nulidad del acuerdo de arbitraje?, ¿a los jueces o a los árbitros?

Los procedimientos alternos

Comentan que "el crecimiento demográfico, la concentración de la población y el aumento del tráfico de negocios y servicios han llegado a tal grado que el Estado se ha visto en la necesidad de permitir la posibilidad de instaurar ciertos procedimientos alternos que resuelvan determinados conflictos."

Continúan diciendo que "la creación de estos procedimientos ... alternos para la solución de controversias se ha debido a la noción del Estado ... de que la acción de administrar e impartir justicia es una atribución establecida en aras de satisfacer el interés y la protección de los particulares, puesto que su finalidad primordial es garantizar pródigamente el acceso a la justicia de sus gobernados ... no debe entenderse que tal atribución ... es única y exclusiva de los Jueces o tribunales estatales, pues la propia legislación instituye el derecho de los particulares de someter determinados conflictos a alguno de los referidos procedimientos alternos de solución de controversias, siempre que éstas no impliquen cuestiones propiamente de orden o interés público.”

Fuente de la jurisdicción

La actuación del tribunal arbitral cuando ejerce su jurisdicción, no se equipara a la función jurisdiccional del Estado. Esta última surge de "nuestra Ley Suprema y, por consiguiente, es genérica y permanente; en cambio, la jurisdicción arbitral se supedita ... a la voluntad de los particulares, … es siempre determinada y temporal”.

Un tribunal arbitral "de ningún modo podrá pronunciarse respecto de ... cuestiones que no hayan sido estrictamente convenidas por las partes o que sean propiamente de orden o interés público.

Deben destacarse dos aspectos fundamentales del acuerdo de arbitraje: (i) "la validez y el reconocimiento de la jurisdicción cierta y determinada del árbitro o tribunal arbitral designado por las partes"; y (ii) “la incompetencia de los Jueces o tribunales estatales para conocer de aquellos conflictos que hayan sido explícitamente sometidos a procedimiento arbitral.”

Arbitrabilidad

El Código de Procedimientos Civiles para el Distrito Federal (artículos 615, 53 y 15) "distingue claramente aquellos negocios que implican cuestiones propiamente de orden o interés público y, por consiguiente, no son sometibles, por pacto o acuerdo entre las partes, al poderío de algún medio o instrumento ajeno a la jurisdicción propiamente del Estado.

Se trata de: a) el derecho a recibir alimentos; b) los divorcios, excepto la separación de bienes y las diferencias puramente pecuniarias; c) la nulidad de matrimonio; d) el estado civil de las personas, salvo ciertos derechos pecuniarios adquiridos de la filiación; e) Las facultades del representante común en el litisconsorcio; y, f) La deducción por el comunero respecto de las acciones relativas a la cosa común, sin el consentimiento unánime de los demás condueños.

En consecuencia, las disputas relativas "a la validez, nulidad o inexistencia de la cláusula compromisoria o compromiso arbitral no constituyen ... cuestiones propiamente de orden o interés público, puesto que [no] atentan contra la moral o las buenas costumbres, ni ... se oponen a la libertad de las acciones o de conciencia de los gobernados y mucho menos soslayan los principios jurídicos del Estado.

importancia nacional e internacional del arbitraje

El arbitraje es "el medio alterno de solución de controversias con mayor desarrollo, demanda e instauración en el ámbito mercantil, tanto en la esfera nacional como internacional, representa un instrumento viable y eficaz por el cual los particulares pueden ... resolver ... controversias que no impliquen cuestiones ... de orden o interés público y prescindir así ... del Poder Judicial del Estado.

La resolución que pone fin al conflicto en un arbitraje "no deriva … de tribunales o Jueces estatales, sino de aquel sujeto de derecho privado, tercero e imparcial al negocio, que es elegido voluntariamente por las partes, a través de un acuerdo por escrito mediante el cual deciden desplazar, total o parcialmente, la potestad del Estado a aquel elegido ... árbitro o tribunal arbitral para que conozca del asunto y resuelva determinadas o determinables controversias derivadas del mismo.

Si no existe "... acuerdo arbitral, por escrito, donde se manifieste su intención de someter determinada o determinable disidencia al poderío de un árbitro o tribunal arbitral designado, no es posible admitir la practicidad de dicho medio o instrumento alterno para solución de tales controversias".

La CNY (artículo III(2) y la Convención Interamericana sobre Arbitraje Comercial Internacional de 1975 (Convención de Panamá, permiten que ciertas y determinadas o determinables controversias puedan ser resueltas por medio del arbitraje.

Los ministros examinan, en el ámbito internacional, los reglamentos más relevantes (LCIA, AAA, UNCITRAL, CCI). También los artículos 1424 y 1432 Cco. 

En conclusión

De ese examen concluyen que, en "esta tesitura, para dilucidar lo que jurídicamente debe ocurrir en los casos en que una de las partes ejerce la acción de nulidad de la cláusula compromisoria y, a su vez, la relativa al cumplimiento del contrato donde aquélla se enuncia, es de apreciarse que el arbitraje, en el ámbito internacional, se ha pronunciado en el sentido de que sólo los árbitros que las partes han convenido, explícitamente, por escrito, en el acuerdo arbitral, son quienes única y exclusivamente deben resolver toda controversia suscitada o suscitable, incluyendo aquella que pueda suscitarse respecto de la validez, nulidad o inexistencia de la cláusula compromisoria o compromiso arbitral.   

Me quedan por hacer algunos comentarios, tanto sobre la decisión de la contradicción, como sobre el voto disidente.

Jurisprudence and Dissidence

When I think that a majority of three against two serves to establish binding jurisprudence in all national territory, makes me nauseous.  When I read the majority's decision and the dissenting option I grow even sicker, how could the legal conceptualism of the majority close its eyes before common sense?  How could this happen, when deciding a simple couple of practically identical cases, in a system of written law?

Due to the nature of the dissident vote, I will try to keep the language of the justices, but not their structure.


The Conclusion, at the Beginning

The dissident vote of the justices Cossío and Sánchez-Cordero, ends with an extraordinary conclusion.  It is worth to invert the order and place the last paragraph at the beginning:

“ … every resolution issued by judges or state tribunals … on issues that are not properly of public policy and that, furthermore, have been expressly entrusted to the exclusive power of a determined arbitrator or arbitral tribunal, including every issue related to the validity, nullity or non existence of the arbitration clause or arbitration agreement, would end up violating the principle of party autonomy in such an alarming way, that it would trample the health of their free will and the reason of being for every procedure, recourse or alternative method that is attempted in a just, viable and efficient manner, to solve the countless conflicts that arise in the increasing businesses and services of today's society."

It is a Matter of Jurisdiction

The justices of the minority also pose the question, to whom does it concern the jurisdiction to decide on the request to declare the nullity of the arbitration agreement?, to the judges or to the arbitrators?

The Alternative Procedures

They state that "the demographic growth, the concentration of the population and the increase of the commercial traffic and services has reached such a point that the State has found itself in the need to allow the possibility of establishing certain alternative procedures to solve determined disputes."

They continue commenting that "the creation of these alternative procedures for the solution of disputes is due to the State notion … that the activity of justice adjudication is a power established in an effort to satisfy the interest and protection of individuals, for its primordial purpose is to bountifully ensure the people's access to justice … it should not be understood that such power … is unique and exclusive of the Judges or state tribunals, for the legislation itself institutionalizes the individual's right to submit certain conflicts to one of the referred alternative dispute resolution methods, as long as these do not implicate issues that are properly public policy."

Source of Jurisdiction

The arbitral tribunal's conduct when exercising its jurisdiction, is not equal to the jurisdictional function of the State.  The latter arises from "our Supreme Law and, therefore, is generic and permanent; on the other hand, arbitral jurisdiction depends … on party autonomy, … It is always determined and temporary."

An arbitral tribunal “cannot pronounce in any way with respect to … issues that have not been strictly agreed upon by the parties or that are properly public policy."

One should highlight two fundamental aspects of the arbitration agreement: (i) "the validity and the recognition of the certain and determined jurisdiction of the arbitrator or arbitral tribunal appointed by the parties"; and (ii) "the lack of jurisdiction of Judges and state tribunals to entertain those conflicts that have been explicitly submitted to the arbitral procedure."

Arbitrability

The Code of Civil Procedures for the Federal District (articles 615, 53 and 15) "clearly distinguishes those businesses that implicate issues that are properly public policy and, therefore, are not subject, by means of party autonomy, to the power of a certain mean or instrument independent from the jurisdiction of the State."

Those matter include: a) the right to receive alimony, and similar family support; b) divorces, except for the separation of goods and the strictly economic issues; c) the nullity of marriage; d) the civil status of persons, except for certain pecuniary rights acquired through filiation; e) The powers of the common representative for several parties during a judicial procedure; and, f) The reduction of the common proprietor with respect to issues related to the common goods, without the unanimous consent of the rest of the proprietors.

In consequence, the disputes related to the "validity, nullity or non existence of the arbitration clause or arbitration agreement do not constitute … issues that are properly of public policy, for they do not attempt against the moral or good customs, nor do they … oppose to the liberty of actions and conscience of the people and much less do they affect the legal principles of the State.

National and International Importance of Arbitration

Arbitration is "the alternative dispute resolution method with greatest development, challenge and installation in the commercial sector, both at a national and international level, represents a viable and efficient instrument by means of which the people may … solve … disputes that do not involve issues … of public policy and are excluded from … the Judicial Branch of the State."

The resolution that puts an end to a conflict during an arbitration "does not derive … from tribunals or state judges, but rather from an individual who is subject to private law, third impartial to the business,  freely chosen by the parties through a written agreement by means of which the decide to substitute, totally or partially, the State's authority in favor of such chosen … arbitrator or arbitral tribunal, so that it may entertain the matter and solve determined or determinable disputes derived from such a legal relationship."

If there is no "… arbitration agreement in writing, where the intention to submit determined or determinable disputes to the authority of an appointed arbitrator or arbitral tribunal, it is not possible to admit the practicality of such alternative  method or instrument for the solution of such controversies."

The NYC (article III(2) and the Inter-American Convention on International Commercial Arbitration of 1975 (Panama Convention), allow for certain and determined or determinable disputes to be subject to arbitration.

The minority justices examine, in the international level, the most relevant rules (LCIA, AAA, UNCITRAL, ICC).  Also articles 1424 and 1432 of the Commercial Code.

In Conclusion

From this analysis they conclude that, in "this sense, to determine what should legally occur in those cases in which one of the parties requests the nullity of the arbitration clause and, at the same time, that related to the performance of the contract in which that was included, it is to be noted that arbitration, in an international level, has gone in the sense of having only the arbitrators chosen by the parties to exclusively entertain every dispute arisen or that may arise, including that which may result with respect to the validity, nullity or non existence of the arbitration clause or arbitration agreement."


I still have some comments left, both with respect to the decision of the contradiction, and with respect to the dissident opinion.
