Legislación complementaria. El capítulo X sobre la intervención judicial en el arbitraje. Contradicción. La tesis de la Suprema Corte

La causa de Satán


La Primera Sala identificó la cuestión como un conflicto de competencia entre el tribunal judicial y el tribunal arbitral. Según esta tesis, si una parte demanda ante la autoridad judicial la nulidad del acuerdo de arbitraje, el juez es el competente para resolver la cuestión. 

En cambio, el tribunal arbitral es el competente para resolver la disputa sobre las demás prestaciones derivadas del contrato, o relación, que dio lugar a la disputa. En sus consideraciones, la mayoría de ministros consideró que al resolver así no dividía “la continencia de la causa”. En teoría no vale la pena discutirlo; en la práctica nos dejó con la "causa desatada”. 

(Ignoro si el sistema de dictado y transcripción Siri tiene inteligencia y sabiduría internas: cuando dicté en un apunte “causa desatada”, Siri escribió “causa de Satán”.)

El resumen de las consideraciones de la Primera Sala, es como sigue.

El acuerdo de arbitraje y la renuncia a la jurisdicción del Estado

Si el convenio arbitral consta en el contrato, se trata de una “cláusula compromisoria”; si se hace en un instrumento separado, será un “compromiso arbitral”*. Sin embargo, de acuerdo con el Cco "ambas tienen los mismos efectos jurídicos, que son la facultad de poder apartar al juez estatal del conocimiento de las controversias que surjan en virtud de contratos donde tales cláusulas se encuentren insertas".

El acuerdo de arbitraje es una renuncia de la jurisdicción estatal (artículos 1092, 1424 y 1432 Cco). El artículo 1092 determina que es juez competente aquel a quien los litigantes se hubieren sometido expresa o tácitamente. Sería violatorio de esa disposición desconocer el acuerdo de las partes de someter la disputa a los jueces en lugar de a los árbitros. Se violaría el principio de “pacta sunt servanda” según el cual la voluntad de las partes es la suprema ley de los contratos (artículos 78 Cco, 1796 y 1797 CCF).

Pero ...

Sin embargo, esta renuncia no alcanza la acción que otorga el segundo párrafo del artículo 1424 del Cco. Como el derecho a sustraerse a la justicia estatal es un excepción a la regla general, es de interpretación estricta. La renuncia en el acuerdo de arbitraje no alcanza la acción que otorga a las partes el segundo párrafo del artículo 1424.

Una nueva acción de nulidad

Si una parte sostiene que el acuerdo de arbitraje es nulo, tiene dos opciones: (i) demandar la nulidad del acuerdo de arbitraje ante el tribunal arbitral en los términos del artículo 1432 Cco (16 LMA); o, (ii) demandar la nulidad del acuerdo de arbitraje ante el juez, conforme al segundo párrafo del artículo 1424 Cco (LMA, artículo 8).

La competencia se surte en favor del tribunal que seleccione el demandante. Esto es, si presenta la demanda ante el juez, éste será el competente. Según la Primera Sala, "en ese caso será necesaria una decisión judicial previa sobre la acción de nulidad, pues en tanto que la jurisdicción y la competencia de los árbitros provienen de la autonomía de la voluntad de las partes, si cualquiera de éstas alega, por ejemplo, la existencia de vicio de la voluntad en el acto que otorga dicha jurisdicción, la acción de nulidad alegada debe resolverse por el órgano jurisdiccional. Tal es el sentido del artículo 1424”. 

La competencia dividida

La competencia del juez se surte, exclusivamente, para conocer de la nulidad del acuerdo de arbitraje. El tribunal judicial carece de competencia para conocer de las cuestiones disputadas que surgen del contrato o relación. También debe recordarse que la disyuntiva que se presenta, consiste en determinar lo que jurídicamente debe ocurrir en estos casos, en que una de las partes ejerce la acción de nulidad de la cláusula compromisoria, y a su vez la relativa al cumplimiento del contrato donde aquélla se encuentra 

El artículo 1432 del Cco (16 LMA) determina que la cláusula de arbitraje es independiente y autónoma del resto de las cláusulas del contrato. La cláusula arbitral tiene un carácter eminentemente procesal

Sin embargo, dice la Primera Sala, "el Juez conserva jurisdicción sólo para decidir la acción de nulidad. Tan es así que del segundo párrafo se entiende que mientras la cuestión esté pendiente -se refiere a la relativa a que el acuerdo de arbitraje es nulo, ineficaz o de ejecución imposible- se pueden iniciar o proseguir las actuaciones ante el árbitro, lo cual indica que el órgano jurisdiccional sólo tiene competencia para resolver la cuestión relativa a la impugnación del acuerdo arbitral o cláusula compromisoria ejercida en vía de acción … quedando a salvo los derechos de las partes para que en términos del segundo párrafo del artículo 1424 que se comenta, puedan iniciar las actuaciones arbitrales por lo que se refiere al diferendo que derive del referido cumplimiento del contrato".

Empero, la elemental lógica jurídica indica que ejercida la acción correspondiente en determinada vía, esto es, ante el Juez del Estado órgano jurisdiccional, o bien, ante tribunal arbitral, no puede a la par o con posterioridad ejercerse la otra, de donde se obtiene que las reglas de competencia dispuestas en ambos preceptos 1424 y 1432 se excluyen entre sí.

Cuando en términos del artículo 1424 del Cco, se demanda ante un juez, "el diferendo, sobre un contrato que contenga una cláusula compromisoria, y se ejerza al mismo tiempo la acción para que la misma se declare nula, ineficaz o de ejecución imposible, ... haría necesaria una decisión judicial previa, sobre la acción de nulidad. Lo anterior porque, por un lado, no debe soslayarse la existencia del debido control judicial sobre el arbitraje y, por el otro, la competencia de los árbitros proviene de la autonomía de la voluntad de las partes, ... si se alega, por ejemplo, la existencia de algún vicio de la voluntad en el acto que otorga competencia al árbitro, la acción de nulidad debe resolverse previamente por el órgano jurisdiccional, quedando a salvo los derechos de las partes para que en términos del segundo párrafo del referido artículo 1424 puedan iniciarse las actuaciones arbitrales relativas a la disputa sobre el cumplimiento e inclusive la existencia o validez del propio contrato que contiene la cláusula compromisoria, ya que a ese respecto el tribunal arbitral conserva su competencia exclusiva".

Mayoría de tres votos de los ministros José de Jesús Gudiño Pelayo, Sergio A. Valls Hernández y Juan N. Silva Meza (ponente). En contra la Ministra Olga Sánchez Cordero de García Villegas y el Presidente José Ramón Cossío Díaz.

El hambre

El respeto que tengo a los ministros de la Suprema Corte no me impide sostener mis opiniones divergentes. Antes de exponerlas, comentaré el voto disidente. 

Pero, por lo pronto, me dio hambre y se me antojó cenar un brioche como el de la ilustración.

Satan's Cause


The First Chamber identified the issue as a conflict of competence between the court and the arbitral tribunal.  According to said thesis, if a party requests from a court the declaration of nullity of the arbitration agreement, it is the court who has competence to rule on the matter.

On the other hand, the arbitral tribunal has jurisdiction to solve the dispute on the rest of the claims derived from the contract or relationship that caused the dispute.  In their considerations, the majority of justices considered that solving the dispute in such a matter would not divide the "essence of the cause".  In theory it is not worth to discuss it; in practice it left us with the "unleashed cause."

(I ignore if the dictation and transcription system, Siri, has any internal intelligence and wisdom: when making my notes I dictated "causa desatada" ("unleashed cause") Siri wrote la "causa de Satán" ("Satan's cause").

The summary of the considerations of the First Chamber, is as follows.

The Arbitration Agreement and the Waiver to the State's Jurisdiction


If the arbitration agreement is included in the contract, it is an "arbitration clause"; if it is embedded in a separate instrument, it shall be an "arbitration compromis" in a strict sense. Nonetheless, pursuant to the Commerce Code "both have the same legal effects, which are the power of depriving the jurisdiction from the state court with respect to disputes arisen from contracts in which such clauses are included" ("both produce the same legal consequences, which is the power to remove from the judge of the State the resolution of the disputes that arise out of the contracts on which such clauses are inserted")

The arbitration agreement is a waiver to the state's jurisdiction (articles 1092, 1424 and 1432 of the Commerce Code). Article 1092 determines that the competent court is that to which the parties submitted expressly or tacitly. It would violate such provision to ignore the agreement of the parties to submit a dispute to the courts instead of the arbitrators. It would violate the principle of "pacta sunt servanda" pursuant to which the will of the parties is the supreme law of the contracts (articles 78 of the Commerce Code, 1796 and 1797 of the Federal Civil Code).

But ...

However, such waiver does not amount to the waiver of the "court action" provided in the second paragraph of article 1424 of the Commerce Code. Since the right to subtract oneself from the state justice is an exception to the general rule; and, thus, is subject to strict interpretation. The waiver included in the arbitration agreement does not reach the legal action available to the parties in the second paragraph of article 1424.

A New Request for Nullity.

If a party holds that the arbitration agreement is null, it has two options: (i) to request for the nullity of the arbitration agreement before the arbitral tribunal in terms of article 1432 of the Code of Commerce (16 of the UMLA); o, (ii) request the nullity of the arbitration agreement before the court, pursuant to the second paragraph of article 1424 of the Commerce Code (article 8 of UMLA).

The jurisdiction is furnished in favor of the tribunal selected by the claimant. That is, if the claimant files the petition before the court, this court shall be the competent one. As per the First Chamber, "in that case a previous court decision will be necessary regarding the request for nullity, for while the jurisdiction of the arbitrators derives from the parties' autonomy, if any of them alleges, for instance, the existence of a defect on the will provided by the parties in the act that provides cause for the jurisdiction, the request for nullity shall be resolved by the judicial court. Such is the intent of article 1424" 

Split Jurisdiction

The jurisdiction of the court is only to entertain the issue of the nullity of the arbitration agreement. The court lacks jurisdiction to entertain the disputes that arise from the contract or legal relationship. It should also be remembered that the dilemma at hand, consists in determining what is to legally occur in these cases, in which one of the parties files a petition for nullity of the arbitration agreement, and in parallel, a petition related to the performance of the contract in which that agreement is embedded.

Article 1432 of the Commerce Code (16 of UMLA) determines that the arbitration clause is independent and autonomous from the rest of the clauses of the contract. The arbitration clause has an eminently procedural nature.

However, as per the First Chamber, "the Court maintains jurisdiction only to rule on the petition of nullity. It is so indeed that from the second paragraph of article 1424 it is understood that while the issue is pending – it refers to the one related to the arbitration agreement being null and void, inoperative or incapable of being performed- the procedures before the arbitrator may be initiated or continued, which indicates that the court has jurisdiction only to rule on the issue related to the challenge to the validity of the arbitration clause or arbitration agreement brought up by the claimant… while the rights of the parties to initiate arbitral procedure pursuant to the second paragraph of article 1424 is untouched with respect to the performance of the contract."

However, basic legal logic indicates that once that the corresponding petition is filed in a determined jurisdiction, that is, whether before the State court or on the contrary, before the arbitral tribunal, the other petition cannot be considered in parallel or after the first one; the rules of competence established in both articles 1424 and 1432 exclude each other.

When pursuant to article 1424 of the Code of Commerce, it is petitioned before a court, "a dispute, on a contract that contains an arbitration clause, and at the same time a petition for the same clause to be declared null, inoperative or incapable of being performed, … Would make necessary a previous court decision on the nullity petition. The foregoing because, on the one side, one cannot turn sideways to the existence of a due judicial control on arbitration and, on the other, the jurisdiction of the arbitrators derives from the autonomy of the parties, … If it is alleged, for instance, the existence of some defect on the will of the parties in the act that grants jurisdiction to the arbitrator, the petition of nullity must be resolved previously by the court, leaving the rights of the parties to initiate arbitral procedures pursuant to the second paragraph of article 1424 untouched, related to the dispute on the performance or even the existence or validity of the contract that contains the arbitration clause, for which the arbitral tribunal retains exclusive jurisdiction."
